For business brokers

Read the deal. Qualify the buyer. Get more of them done.

A listing is only sold when it settles. We read the numbers behind your deals, and we weed out the purchasers who were never going to fund them, before they cost you a campaign.

The problem

Three places a good sale goes to die

At finance.

The buyer's application goes in built on the vendor's adjusted P&L, and the credit team declines it on presentation. Weeks of campaign work gone, and the sale starts again from the top.

At due diligence.

The buyer's adviser finds the untested add-backs late. Now it is a price war, or a walk-away, three weeks before settlement instead of three weeks after the first inspection.

After the handshake.

The deal drags because every number gets relitigated. Buyers with a verified earnings case negotiate once, finance once, and settle.

What that means for your book

More settlements, fewer dead campaigns

Buyers arrive bank-ready.

Point a serious buyer at us early and they reach the bank with a tested earnings case a credit team can pass. The number the price was agreed on is the number the lender sees.

The wrong buyers surface early.

A purchaser whose finance was never going to work, you find out now instead of three weeks before settlement. Your time goes to buyers who can actually complete, and your pipeline stays full of them.

Prices that hold.

Vendors who test their numbers before the campaign set a price that survives negotiation and finance. Fewer relitigated numbers, faster settlements, more of your deals done.

We do the reading, at fixed fees, and we say what the evidence supports and nothing else.

Two ways to use us

Buyer-side, or before the campaign

Buyer-side: qualify them before you commit the campaign

Point a buyer at us early and we read the deal's numbers and their finance position together. The buyers who can complete reach the bank with a tested earnings case a credit team can pass, and the number the price was agreed on is the number the lender sees. The buyers who were never going to fund it, you find out now, not three weeks before settlement, so your time goes to purchasers who can actually settle. The fee is fixed and paid by the buyer.

Financial due diligence

Vendor-side: prepare the sale

Vendors preparing for sale can engage us before the campaign starts. We test the earnings case the way a buyer's adviser and a credit team will, evidence the add-backs that are real, and flag the ones that will not survive. The number that goes to market is one that holds through negotiation and finance.

Service levels and fees

Where we stand

No stake in whether it settles.

We do not provide valuations and we do not act as business agents. Our fee is fixed and payable whichever way the analysis lands, so nothing we are paid moves with whether the sale completes. That is exactly why a file with our analysis behind it gets a fair reading from the buyer’s advisers and the lender’s credit team. A tested deal is a deal that settles.

Two ways to send a buyer

Refer for finance, or pick the services

Refer the buyer for finance and we make sure the whole matter is taken care of, or choose exactly which pieces you want done: the diligence, the finance documents, or both. Combining several services on the same matter attracts a bundle discount.

Pathway 1: Refer the client for finance

One referral, and the whole matter is taken care of.

Refer your client for the finance and we look after the rest. We run the lending across 40+ lenders and wrap every service the matter needs around it: the diligence, the documents, the modelling, so nothing falls between advisers. Where a broker introduced the client, the lending stays with that broker.

Pathway 2: Pick the services you need

Choose exactly what you want done, one service or several.

Point us at the specific work: financial due diligence, finance documents, a business plan, a debt capacity read, or any combination. Each is fixed-fee off the schedule on this site, and combining multiple services on the same matter attracts a bundle discount, quoted in writing at scoping.

Free and ungated. Worth handing a buyer who is trying to work out whether a deal is fundable before they commit to diligence.

Common questions

Only if the deal deserved it, and a deal that deserved it was going to die at finance or in a late price war anyway. We say what the evidence supports and nothing else. Where the earnings hold up, the buyer proceeds with confidence and the price holds. Our fee is identical whichever way the analysis lands, so we have no incentive to talk a deal down or up.

Whoever engages us. Buyer-side due diligence is engaged and paid for by the buyer. Vendors preparing for sale can engage us before the campaign starts to test the earnings case, so the number that goes to market survives the buyer's scrutiny. Fees are fixed and on the site, and they are the same number for everyone.

No. We do not provide valuations and we do not act as business agents. What we provide is earnings analysis: what the business actually earns once an arm's-length owner is running it, evidenced from source documents. Price is your territory. Our number tells everyone what they are pricing.

The fixed fee is confirmed in writing within two business days of seeing the financials, at no charge. Standard turnarounds run from a few business days for a first-pass verification to a few weeks for a full engagement, and expedited delivery is available at a set loading.

The same verified earnings model flows straight into the lender documents, so the number the price was agreed on is the number the bank sees. The documents belong to the buyer and can be lodged through any broker or lender. Where a buyer has no broker and asks for the application to be handled, that goes to The Lending Lab Pty Ltd, a separate broking business, disclosed in writing.

Send us the deal before it goes to finance. Bring a live listing or one that has stalled, and the first one gets a no-cost read from Nick on whether the numbers will carry the price, and what would have to be true.
